By-Laws

 

 

Section 1 - Definitions of Boundaries

 

The Association area of interest shall include all properties in an area bounded by I-83 on the East, the Gunpowder River on the South, the Carroll County Line, on the West, and the Maryland-Pennsylvania Line on the North.

 

Section 2 - Membership / Voting privileges / Dues

 

Individuals eligible for membership, as defined in Article V, will become members in good standing upon payment of an annual per household fee, 

applied to membership for the calendar year in which it is received or to subsequent years if fee has already been received for the current calendar 

year.

 

Membership shall entitle each household to have two votes at any regular or special meeting.

 

No proxy votes are allowed at any time.

 

Section 3 - Meetings

 

The Association shall hold, at a minimum, quarterly meetings. The meeting schedule to be determined by the Executive Board.

 

General Elections shall be held at the last meeting of the calendar year with Officers and Executive Board members taking Office on January 1st.

 

Special meetings may be held at any time by the call of the Chairperson of the Executive Board. Any fifteen (15) members (households) in good 

standing may also petition the Chairperson, in writing, for a special meeting. The Chairperson shall then arrange all such special meetings no later 

than 20 days after the meeting has been petitioned

 

One-third of the members in good standing shall constitute a quorum. Any five members of the Executive Board shall constitute a quorum.

 

Section 4 - Executive Board

 

The members of the Executive Board shall be as specified in Article VII of the charter. The Board shall hold quarterly meetings, at a minimum. Additional meetings may be called, as needed, by the Chairperson.

 

Duties of the Executive Board are as follows:

 

a.     Responsible for the management of the Association, including establishing Association priorities in accordance with the will of the majority 

of the membership.

b.    Approve any expenditures that are necessary for Association Operations

c.    Establish and enforce the policies and procedures of the Association subject to the approval of the majority of the membership

d.    Prepare an agenda for upcoming general meetings, which shall include a report of any Executive Board meetings held between general 

meetings, as well as a report from each of officer summarizing activities for which he or she is responsible.

e.    The Board is not authorized to option, purchase, lease, or other capital assets. Approval of such acquisition shall be reserved for the general membership by majority vote.

 

Section 5 - Officers, Eligibility, and Duties

 

a.                   Any member shall be eligible for election to any office in the Association, except a member who is directly or indirectly involved in holding 

or seeking public political office by election or appointment.

 

Should any Officer or Board Member, already elected to office, decide to enter into a political venture during his/her tenure, as described above, such 

Officer or Board Member shall be understood to have tendered his or her resignation and shall be replaced in accordance with Section 7 of these 

By-Laws.

 

b.                  No member shall be eligible to serve for more than two consecutive terms in the same office.

c.                   Duties of Officers -

d.       Chairman

       Shall preside over all meetings of the Association, Executive Board, and at his/her discretion, over any subordinate group or committee.

       Shall keep the Executive Board informed on all matters affecting the Association.

        Shall ensure that Association Officers attend to their duties.

        Shall delegate certain administrative duties to the Vice-Chairman.

        Shall represent or delegate another member to represent the Association. 

    Shall countersign checks in lieu of the Treasurer or Secretary.

 

e.      Vice Chairman

        Shall serve for the Chairman in his or her absence.

        Shall supervise the proceedings of Association committees.

        Shall serve as the interpreter of the Association By-Laws and Charter, and be responsible for all changes to these documents.

        Shall perform any duties assigned by the Chairman.

f.       Treasurer

        Shall manage the funds of the Association to include the following

        Keeping complete records of all receipts and disbursements

        Preparing and presenting financial reports at all regular scheduled general meetings or at any other time dictated by the Executive Board

        Maintaining an Association checking account

        Collecting Association membership dues.

g.      Secretary

         Shall record the minutes of every Board or general meeting.

         Shall countersign checks in lieu of the Chairperson or Treasurer.

         Shall prepare and issue all correspondence from the Association or Executive Board and all notices.

         Shall maintain a contact list for all current members.

 

Section 6 - Committees

 

a.       Permanent Standing committees shall include but not limited to

        Communications

        Fund Raising

        Zoning

 

b.      Special committees may be appointed by the Chairman and ratified by the Executive Board at any time the need should arise.

c.    Members of permanent standing committees shall hold their appointment until the end of the year or until relieved by the Chairman.

d.   Members of special committees shall hold their appointment until such time as their delegated task is completed and a final report submitted to 

the Executive Board.

 

Section 7 - Vacancies

 In the event of a vacancy in the office of Chairman, that office shall be filled by the Vice Chairman until the next general election. A vacancy any other 

office, or on the Executive Board, shall be filled by an Executive Board vote at the next Board meeting following the vacancy, a quorum being present. 

This Board member shall serve until the next general election.

 

Section 8 Amendments

 

  The By-laws may be amended by a two-thirds vote of the members eligible to vote, as defined by Section 2, present at any meeting attaining a quorum.
